In Sharp and Others v Blank and Others [2015] EWHC 3220, it was held that the duty of the directors is to be loyal to the shareholders and have to provide the shareholders clear information about any relevant facts. In Australia, there is a case that evaluates section 180 of the Act and determines the duties of the director of a company. In ASIC v Cassimatis [2016] FCA 1023, the director of the company had projected one financial model and prayed for investment from the persons to invest money in to the project and gain lifelong benefit from it. It was known to the director of the company that there were risks bu t he had not disclosed the fact to them. After the investment, the company had faced a financial breakdown and the investors lost their money. It was held by the court that it is the duty of the director of the company to disclose all the essential facts to the shareholders. Therefore, he had failed to take good care and diligence to the shareholders and held liable under section 180 of the Corporation Act 2001 (Mills 2014). In Starlink International Group Pty Ltd v Coles Supermarket, an allegation has been brought against the Coles that they had terminated a contract with Starlink without maintaining any conditions of the contract made in between them. It was supported by the court of New South Wales and it was held by the court the super market had failed to show the care to the terminated company and the steps taken by the authority of Supermarket is arbitrary in nature. It was also held by the court that the alleged authority had failed to act in the best interest of the company (Tills and Wills 2016). The doctrine behind the interest of the company is intending to create a relationship between the director and the other stakeholders of the company. It is an obligation so that the directors of the company can perform their duties in good faith. The directors are under an obligation not to secure their own interest in lieu of the companys interest. If certain acts are done by the directors, their acts will be void in nature. In Hutton v West Cork Railway Co (1883) 23 Ch D 654, it was held by the court that there is no other cakes or ales of the director except for the benefit of the company. It was held in Multinational gas and Petrochemical Co v Multinational Gas and Petrochemical Services Ltd [1983] Ch 258, it was held by the court that if a director of a company can do anything, which is beyond the scope of their power, the shareholders of the company can rectified the same and they can bring the work within the purview of the company. From the above mentioned discussion, it has been observed that the phrase best interest of the company relates to the interest of the shareholders. Shareholders are the most important part among the other stakeholders of a company. The word stakeholders denoted the person without whom it is not possible to run a company. The word stakeholders include shareholders, directors and other staffs of the company. The shareholders of a company have certain powers imposed by the respective law of Australia. In the light of the important duties maintained by the shareholders, they become the best interest of a company and it is the primary duty of the director of the company to secure the interest of the shareholders. In the interest of the company as a whole: The phrase in the interest of the company as a whole means that it is the duty of the director to act in such way that the interest of the company can be retained at any cost. A company is composed of certain stakeholders who are directed the company and the administrative work of the company is vehemently depended on them. The phrase as a whole can be interpreted that include all the essential and related character of the company. That means a director of the company must be loyal to the stakeholders of the company. There are certain differences present in between the two phrases. In Aberdeen Ry v Blaikie (1854), it was held by the court that a director should have to take care of the stakeholders of the company and should not throw light any one of the parts of the stakeholders. In Sharp v Blank and Others [2013] it was held by the court, shareholders are not separate from the company. They are one of the integral parts of the company. In this case, a serious question has been generated and the base of the question made conflicts between the facts that state that a company is separate from its shareholders. In a famous case of Salomon v Salomon Co [1897], it was for the first time found by the court that a company is a separate legal entity and the interest of the court should not be mismatched with the shareholders of the company. A well known principle of the Company law lifting the corporate veil has been based on the same principle. The case was followed in another popular case Re a Company [1985] BCLC 333, where the principle of Lifting the corporate veil has been discussed. In Jones v Lipman [1962] 1 All ER 442, the director of the company had sold the company to another as an order specific performance had been passed against them and they wanted to avoid the same. It was held by the court that the directors were acted in bad faith and their acts cannot be treated for the interest of the company as a whole. In this case, the court had passed an order to lift the corporate veil of the company (Brown and Lawrence 2017). However, in the case of Sharp v Blank and others [2013], the court had passed its view in favour of the company. It has been stated by the court that a director owes duty to the company only and shareholders are the part of the company and the case is denied the principle regarding the separate legal entity of the company. Therefore, in this case, it has been stated that the director should have to work for the interest of the company as a whole. There is no principle regarding the best interest of the company. It was held in the case that the shareholders are the part of the company (Nicholls, Donald and Liu 2015). The contradiction regarding the directors duties is an old problem and in the case of Perceval v Wright [1902], a similar dilemma was arose and it was held by the court that director of a company is only liable to the company and not to the shareholders of the company. Conclusion: Therefore, from the above mentioned discussion, it can be stated that the phrases best interest of the company and interest as a whole are different in nature. These measures were implemented to promote everyone to recycle. Recyclable trash receptacles were put all over the cities. TV and posters advertisements were made to encourage everyone to recycle. Investments in the recycle industry increased. Resources that were not recyclable were used to produce final goods and were replaced with recyclable goods. For instance, pickles used to be sold in jars; however, now there are sold in plastic jars. Other measures are going to be implemented; however, the ones already implemented are solving the problem. As Americans started to see these measures being implemented, they were really encouraged. Americans started to be less wasteful. Home-recycling increased, and energy consumption decreased. For instance, those unnecessary lights were turned off. Useless water consumption decreased, so Americans had water running only when needed. Although many actions are needed, 77% of all Americans are now recycling. The government measures were successful, and certainly waste will decrease as time goes by. The environment is clearly better. Americans are wasteful people, however they are wasting less.

The Crusades Essays - First Crusade, Crusades, Second Crusade The Crusades The crusades were military expeditions launched against the Muslims by the Christians in an attempt to regain the Holy Land. They took place between 1095 A.D. and 1270 A.D. It was one of the most violent periods in the history of mankind. The starting point of the crusades was on November 18, 1095 A.D. when Pope Urban II opened the Council of Clermont. On November 27, outside the French city of Clermont-Ferrand, the Pope made an important speech . He called upon everyone to help the Christians in the east to restore peace. The crowd's response was very positive. Garments were cut into crosses which were attached to people's shoulders in an imitation of Christ (Matthew 10:38).(1) The original object of the First Crusade was to help Christian churches in the east. The new goal became to free the Holy Land from Muslim control, especially Jerusalem. Pope Urban II stayed in France until September 1096 to provide leadership and guidance for the members of the First Crusade. He urged churchmen to preach the cross in France. Urban wanted the crusading army to be mostly made up of knights and other military personnel. Since the news of his speech at Clermont spread through the west, people from all social classes and occupations joined the Crusade. As a result of Urban losing control of personnel, violence was launched against the Jews of northern France. This violence was mostly instigated by bands of the urban and rural poor led by men like Peter the Hermit and Walter Sans-Avoir. These groups lacked supplies and discipline. They attempted to reach Coneztinople but most of them never got that far. The leaders in lands which they passed through were frightened and killed many of the crusading bands. Some did get to Coneztinople and traveled across the Bosphorus in August 1096. There they split into two groups. One tried to overtake Nicaea and was unsuccessful. The other was ambushed and slaughtered near Civetot in October. The remaining crusaders retreated to Coneztinople and joined the second wave of the Crusade. The crusaders were eager to start the journey to Jerusalem but they needed to capture the Anatolian Turkish capital of Nicaea first because it blocked the road that would be their main supply route. It was held by Seljuk Turks. In May 1097, the crusaders attacked Nicaea. The Turks realized that they were defeated and agreed to give the city to the Byzantines in exchange for the lives of their men. The Byzantines agreed to this and on June 18, Nicaea was under Byzantine control. The leaders of the crusade disagreed and wanted to slaughter the Turks because they were enemies of Christ.(2) On June 30, 1097, the crusaders were ambushed at the city of Dorylaeum by Seljuk Turks led by Kilij Arslam the Seljuk Sultan. The fight continued until July 1. The crusaders won a big victory and nearly wiped out the Turkish force. This victory opened up the way to Anatolia. The crusaders attacked Anitoch in northern Syria on October 21, 1097. "This was the main obstacle on the road to Jerusalem."(3) In a long and gruesome battle, the city finally fell on June 2, 1098. The crusaders were quickly attacked by a new Turkish army from Al Mawsil. They arrived too late to revive Anitoch's Turkish defenders and they were forced to retreat on June 28. The starting date for the march to Jerusalem was set for November 1, 1098 but was delayed by an epidemic as well as fighting to the south of Anitoch. On January 13, 1099 the commander-in-chief, Count Raymond IV of Toulouse, led the crusaders' march to Jerusalem. They avoided attacks on cities to conserve forces. In May 1099 they reached the northern border of Palestine. On June 7 they camped on the summit of a hill where they could see Jerusalem. Many soldiers had tears of joy on that day. The hill was named Montjoie. Jerusalem was well fortified and only vulnerable from the north and the southwest. On June 13 they tried to storm Jerusalem but were driven back because of insufficient supplies. Extreme heat and a water shortage lowered morale. This is seen when she does not take her life seriously, like forging a signature, which in turn could lead to a lot of problems. In â€Å"A Doll’s House†, in the end, we see that Nora leaves behind her house, her husband as well as her children, whom she loved a lot. This means that she is very selfish and only thinks about herself. According to Nora, she will be who she is if she leaves Torvald. She thinks that being with him, she is a completely different person, from reality. This is seen at the end, when Torvald gets to know the truth Whereas, on the other hand, it is completely opposite in â€Å"A Glass Menagerie† with Amanda. After she lost her husband, she felt completely helpless and did not know how to figure things out. In â€Å"A Doll’s House†, Nora is seen very self-obsessed, whereas, on the other hand, in â€Å"A Glass Menagerie†, Amanda does not really care about herself, and is seen more concerned about her children, and about their future. Nora considers herself like the most prettiest women and keeps on obsessing about herself and thinks about her own future the most. This is also seen when both, Nora and Amanda think that they have some lovers or gentlemen. The only difference between the both of them is that Nora knew that she did not have any lover, and she just dreamt of having one. Whereas, Amanda thought there were gentlemen for her, even though, in real, there weren’t any. Thus, in both these plays, â€Å"A Doll’s House†, and â€Å"A Glass Menagerie†, Nora and Amanda have similarities as well as differences. This similarity between both of them is that both of them care about their kids, and both of them are not in touch with reality. And the difference between them is that Nora finds freedom after leaving her husband, whereas, on the other hand, Amanda kind of feels handicapped after she lost her husband. Buddhists past and present have looked to the incidents in Buddha’s life for inspiration. Pick any three major episodes in the Buddha’s life and discuss what lessons they impart to a typical Buddhist householder. 1. His first time realizing leaving his house and seeing normal people in the outside world. I think that this incident in Buddha’s life taught typical Buddhist householder that they can’t ignore the outside world. He taught them that even though your life might be going great that as soon as you step outside your door there is still going to be pain and suffering and death all around. I think it’s a lesson to makes them realize that all the suffering and death a pain are normal things in life and that they need to get used to it and even become okay with the thought of these things being are a normal part of life. Personally I think that this is a very good way to think because it opens people’s eyes and since they are able to see these things they can make changes to them. If you do not know that there is pain outside your door there is no way of stopping this pain and suffering from happening but if you are completely aware of the pain and suffering you have the ability and chance to take the pain and suffering away with actions which in this religion will give you good karma and lead you eventually to enlightenment. 2. The five men who Siddhartha met up with on his quest and who laugh at him when he thought that there ways were too extreme. The Buddha left the five men because he did not want to starve himself to death and thought that it was too dangerous and that it did not produce enough results for what he was looking for. Buddha also realized that a mix of this extreme life of giving everything up and a mix of the luxurious life that he had before would be the perfect match to reach enlightenment. This part of Buddha’s life is my favorite. I feel like it teaches the householders that you need balance in your life and that moderation if a great trait to have in your life. It teaches the householders that they should not only live life for the pleasures in it like food, women, and riches. Also they should not live their life completely for the religious aspect and they should not renounce everything they own and give up all pleasures in life. I think that this is a great thing to teach people because if you have moderation in your  life you can do more things and enjoy/master more things in life. 3. The temptation from Mara and his hordes. The story of a god or deity that tempts the hero in the story is common in religions for examples Satan temps Jesus while he is in the desert for 40 days in the Christian religion. I think that this story is meant to teach the householders that there will always be temptations in life and that if you do not give in to these temptations you will prosper and good things will happen to you. In Buddha’s case after he rejected the temptations he reached enlightenment. Therefore the goal that typical Buddhist householders have is to resist all bad temptations and reach enlightenment.
